Terms and Conditions

  1. Scope
    Our deliveries, services, and offers are provided exclusively in accordance with these Terms and Conditions. They also apply to all future contracts, even if they are not expressly agreed upon again. They set forth all rights and obligations between the customer and bhv and are solely binding, notwithstanding any conflicting terms and conditions of the customer.
  2. Conclusion of the contract
    Offers made by bhv are subject to change and non-binding. A contract is not concluded until bhv issues a written order confirmation or begins fulfilling the order. In the event that the contract is not fulfilled for reasons attributable to the customer, bhv may charge 15% of the order value.
  3. Delivery
    3.1. Upon delivery and payment for the software programs, the non-transferable and non-exclusive right to use the provided programs for the customer’s own purposes on a specific computer system—as precisely designated in the contract—along with the connected devices (listed in detail) is granted, since a separate license is required for each central processing unit on which the program is to be used, unless otherwise agreed. However, the right of use granted for a specific central processing unit shall also apply temporarily to use on another central processing unit if this becomes necessary due to a failure of the specific central processing unit caused by a malfunction. The customer shall immediately notify bhv of any intended change to the specific central processing unit. bhv will then confirm the change to the specific central processing unit as well as the date on which the change takes effect.

    3.2. Copies or other reproductions of the provided program or documentation may be made solely for the purpose of data backup. These copies may only be used if the original is no longer usable due to damage or destruction. Any further use, in particular multiple use or use on a modified hardware configuration, is not permitted and is also not covered by the purpose of the contract; it requires the written consent of bhv—if necessary, after consultation with the relevant system provider—which will be granted provided that no legitimate interests stand in the way.

    3.3. All rights to the programs and documentation—both the originals and copies—remain with bhv. Modifications or other alterations are not permitted and do not affect bhv’s rights. The transfer of rights and obligations under this agreement or with respect to program documentation requires the prior written consent of bhv, which will be denied only if there are legitimate interests to the contrary.

    3.4. The purchaser shall be liable to bhv for any damages resulting from the improper use of the software, in particular in the event of the disclosure of the software and/or documentation to unauthorized third parties. bhv is entitled to claim a contractual penalty equal to three times the retail price for each instance of such a violation. This shall not affect any copyright claims or claims for damages against the purchaser.

    3.5. If the purchaser has acquired the software or the software medium for resale, the purchaser is not permitted to reproduce the software in whole or in part, not even for the purpose of data backup. The reseller may only transfer the programs to third parties once such third parties have committed in writing to comply with these General Terms and Conditions of Sale, Delivery, and Payment of bhv, both toward the reseller and toward bhv. Two-thirds of the contractual penalty payable by third parties in the event of a breach shall accrue to bhv, and one-third to the reseller. The scope of the delivery obligation is governed exclusively by the order confirmation issued by bhv and these General Terms and Conditions. bhv is entitled to make partial deliveries. The reseller must indicate the program’s license or serial number, as issued by the program manufacturer, on the invoice.

    3.6. The same provisions regarding reproduction and distribution, including the contractual penalty, apply to the program manuals and other deliverables.

    3.7. Shipping and delivery are at the customer’s expense. The risk of loss or damage to the goods passes to the customer when the goods are handed over for shipment. This applies even if delivery free of charge has been agreed upon. If the customer is to pick up the goods, the risk of loss or damage passes to the customer upon notification that the goods are ready for pickup.
  4. Fees and Payment Terms
    4.1. If the list prices on which the agreed prices are based change four months prior to the scheduled delivery date, the revised list prices shall be deemed to have been agreed upon.

    4.2. The purchase price is due upon delivery of the purchased item or if the customer is in default of acceptance. This also applies to partial deliveries. Deliveries up to €250 are made only against prepayment or cash on delivery. All prices are exclusive of the value-added tax applicable at the time of delivery and are payable immediately upon due date without deduction. If the customer defaults on payment, bhv is entitled to charge reminder fees of €5.00 as well as default interest at a rate of 5% above the respective base rate of the Bundesbank per month. This late payment interest is calculated for each month or part thereof in which the contract is fulfilled by bhv through shipment, provision, or delivery of the requested goods or performance of the corresponding services. Default occurs 30 days after the invoice date. The right to withdraw from the contract and to assert claims for damages remains unaffected.

    4.3 The customer may set off counterclaims only if they are undisputed or have been legally established. The customer may assert a right of retention based on a counterclaim only if bhv’s claim for payment and the customer’s counterclaim arise from the same contractual relationship. This restriction does not apply if these General Terms and Conditions are applied to transactions with merchants.
  5. Retention of title
    The goods remain the property of bhv until the purchase price has been paid in full. The purchaser is not permitted to pledge the goods, transfer them as security, or transfer them in exchange for other goods. If third parties attempt to seize the goods, the purchaser must notify bhv immediately. If the purchaser sells goods owned by bhv, the purchaser and bhv agree that the claims arising from the resale are assigned to bhv upon their creation. If the goods are sold together with other items, the assignment of the purchase price claim is limited to the value of the goods originating from bhv’s ownership. The customer is revocably authorized to collect the claims assigned to bhv on its behalf.
  6. Delay and Non-Performance
    Compliance with deadlines is contingent upon the customer fulfilling its contractual obligations, in particular its payment obligations, in a timely and complete manner. Otherwise, any agreed deadline shall be extended by a period corresponding to the delay. If a service is delayed beyond the date promised by bhv, rights arising therefrom may only be asserted after the expiration of a deadline of at least three weeks set by the customer, unless the customer proves that their interest has completely lapsed due to the missed deadline. If bhv is in default of delivery or if delivery becomes impossible for bhv, compensation for consequential damages is excluded, provided that the default or impossibility is not due to a grossly negligent or intentional breach of contract by bhv. The claim for damages due to delay is limited to 1% per completed week, but in total to 20%, in each case based on the agreed remuneration for the delivery or the part of the delivery that cannot be used due to late delivery.
    Im Falle schuldhafter Nichterfüllung kann der Besteller Schadenersatz verlangen, begrenzt auf den vorgenannten Höchstbetrag.
    Bei Lieferstörungen, die nicht im Einwirkungsbereich der bhv liegen, ist bhv berechtigt, vom Vertrag zurückzutreten, ohne dass eine Schadenersatzpflicht eingreift.
    Weitergehende und andere Ersatzansprüche des Bestellers sind in allen Fällen verspäteter Leistung oder der Nichterfüllung auch nach Ablauf einer der bhv gesetzten Nachfrist ausgeschlossen. Die Regelungen des vorstehenden Absatzes gelten nicht, soweit in Fällen des Vorsatzes oder der groben Fahrlässigkeit gehaftet wird. Das Recht des Bestellers zum Rücktritt nach den gesetzlichen Bestimmungen bleibt unberührt.
  7. Warranty
    The customer agrees to inspect the goods delivered by bhv immediately upon arrival and to notify bhv in writing of any damage, defects, etc., within 8 days. If such notification is not provided in a timely manner, the customer’s warranty claim shall lapse, unless the defect was not detectable despite the inspection.
    Eine Gewährleistungspflicht der bhv beschränkt sich nach deren Wahl auf Ersatzlieferung oder Nachbesserung. Bei Verwendung dieser allgemeinen Geschäftsbedingungen im kaufmännischen Verkehr ist die bhv außerdem berechtigt, die Gewährleistung auf die Abtretung eigener, gegenüber Hersteller, Lieferanten oder Autoren bestehender Gewährleistungsansprüche zu beschränken, es sei denn, der Mangel hat seine Ursache im Verantwortungsbereich der bhv. Schlägt die Nachbesserung oder Ersatzlieferung durch die bhv oder die Befriedigung aus den abgetretenen Gewährleistungsansprüchen fehl, kann der Besteller nach seiner Wahl Herabsetzung der Vergütung oder Rückgängigmachung des Vertrages verlangen. Ein weitergehender Anspruch des Bestellers auf Ersatz eines unmittelbaren oder mittelbaren Schadens ist ausgeschlossen, es sei denn, der Schaden ist auf eine grob fahrlässige oder vorsätzliche Vertragsverletzung der bhv zurückzuführen.
  8. Liability
    bhv assumes liability only to the extent expressly provided for in these terms and conditions. In particular, claims arising from fault at the time of contract formation, from a positive breach of contract, or from non-contractual liability are excluded. This exclusion of liability does not apply to cases in which liability is mandatory due to willful misconduct or gross negligence.
    Der Besteller stellt bhv von allen Ansprüchen Dritter frei, die über den Rahmen der Haftung nach diesen Bedingungen hinausgehen.
  9. Export Regulations
    bhv assumes liability only to the extent expressly provided for in these terms and conditions. In particular, claims arising from fault at the time of contract formation, from a positive breach of contract, or from non-contractual liability are excluded. This exclusion of liability does not apply to cases in which liability is mandatory due to willful misconduct or gross negligence.
    Der Besteller stellt bhv von allen Ansprüchen Dritter frei, die über den Rahmen der Haftung nach diesen Bedingungen hinausgehen.
  10. Other Provisions
    10.1. The place of performance for the obligations of both parties is Neuss. In commercial transactions, Neuss is agreed to be the venue for legal proceedings.
    10.2.The legal relationship between bhv and the customer is governed exclusively by the laws of the Federal Republic of Germany.
    10.3. If any provision of this agreement is invalid in whole or in part, this shall not affect the validity of the remainder of the agreement.
